The purpose of this role is to provide legal guidance and advice to all levels of the partnership including Executive Leadership, Operational Leaders and Partners in offices nationwide. This position will have significant exposure to firm Leadership, including the CEO, COO, Executive Managing Partner and Managing Partners. Influences the direction of legal matters involved in the general operations of the business. This position may be located out of any of our primary locations: New York, Washington D.C., Detroit, Chicago, Milwaukee, Madison, or Minneapolis. Primarily responsible for all legal aspects of the firm
Manage relationships, coordinate litigation and all other legal matters handled by outside counsel
Draft, review and edit contracts including client engagement letters, teaming agreements, supply agreements, software license agreements, marketing agreements and IP licensing agreements
Provide guidance to all levels of the organization on a variety of legal issues, including responses to subpoenas, depositions, settlement and r! elease documents, litigation management and client bankruptcy matters
Consult with firm leadership regarding the management of firm risk including exposure, governance, enterprise risk management (IT, Human Resources, finance and general business counsel to the Office of the CEO) and professional liability
Monitor multi-state regulatory requirements and ensure firm-wide compliance
Advise on legal matters relating to general business operations of a professional services firm including but not limited to human resources and financing matters
Participate in the definition and development of corporate policies, procedures and programs, and provide continuing counsel and guidance on legal matters and on legal implications of all matters
Serve as legal advisor on all major business transactions, including mergers, acquisitions, divestitures and joint ventures
Ensure firm leadership and staff are trained on substantive legal topics that impact the firm, as! necessary
Provide leadership to the Office of the CEO and the Boar! d of Partners regarding corporate governance and partnership agreement interpretation matters
Manage the firm's professional liability and general liability insurance claims and relationships with insurers
At least 7 years of professional experience with at least 5 years in general business law
Experience as an attorney with a law firm required
Experience working on matters of corporate governance
Juris Doctor degree required; active license to practice in Wisconsin or Illinois preferred
Excellent writing skills with a demonstrated ability to prepare succinct written communication

Preferred Qualifications
Recent experience as in-house counsel highly preferred
Background in contract law; litigation management experience
Accounting/Consulting or other profe! ssional firm experience preferred
