Description: KYLIN TV, INC. is at present recruited STAFF ATTORNEY right now, this vacancy will be assigned in New York. More details about this vacancy opportunity kindly see the descriptions. Attorney: Staff Atty (Plainview, NY): For Chinese language IPTV co., research/prep patent trademark apps & revise patent apps as needed. Provide legal advice on corporate regulatory matters rel. to IPTV technology, l! icensing & delivery. Ensure co.
& all legal docs, incl but not limited to contracts, agreements, manuals, & policies are in compliance w/ all U.S. Federal, state & local laws, & w/ Chinese laws. Draft content distribution agreements, channel agreements, bus. partnership agreements, reseller agreements, & other agreements in both English & Chinese.
Review all request for proposals for accuracy & compliance. Register co. w/ all state, local, federal & country governments as req'd to conduct bus. Represent co.
in court proceedings & admin hearings. Oversee/manage outside counsel. Prep court pleadings, motions & discovery as needed. Negotiate/settle claims & lawsuits.
Serve as Asst Corporate Secretary, & manage record-keeping functions for co., maintain & provide documentation of corporate Board actions, & maintain corporate minutes. Ensure Board members have proper advice & resources for discharging fiduciary duties. Oversee approval & issua! nce of stock option grants. May telecommute from any loc but m! ust be able to attend monthly meetings in Plainview, NY office or more often if needed.
Reqts: Juris Doctor, L.L.M or foreign equiv & 1 yr exp in position offered or rel. position & 1 yr exp must incl: prep'g patent trademark apps; drafting content distribution, channel, bus. partnership, & reseller contracts & agreements; & qualified applicants must be licensed to practice law in NY & licensed to practice law in PR of China & must be fluent in English & Chinese (both written & oral).
