Summary:
Serves as legal counsel for legal business matters which are related to licensing and business development transactions. Acts as advisor on legal issues involving contracts and external agreements. Reviews and prepares contracts and advises SVP and organization on appropriate approaches. Coordinates relevant legal matters handled by outside counsel. Demonstrates experience in general corporate matters, including corporate organization, drafting transactional contracts and documents, license agreements, regulatory matters, risk manag! ement asset-backed financing, and contract management. Experie! nce in trade secrets, advertising law, registration and other resolutions specific to the computer and technology industry as well as SEC reporting is required.
Responsibilities:
- Works closely with senior management and the business development team on major corporate initiatives for partnerships, licensing agreements etc.
- Supports critical collaborations with the alliance management team and serves as an advisor as required.
- Negotiates and drafts highly sophisticated licensing, collaboration and other agreements, often where no precedents exist
- Works closely with the patent department to ensure proper protection of intellectual property assets
- Advises on relevant antitrust, FTC, SEC and corporate laws impacting various projects
Requirements:
Must have demonstrated expertise with negotiating and drafting extremely complex agreements in the life s! ciences area, biopharma strongly preferred.
Minimum of 10+ years of relevant experience and top tier law school required. Requires prior relevant experience; deal sheet preferred with CV.
