Responsible for reviewing and revising commercial contracts in close coordination with business managers and under di! rection of Corporate Counsel.

May assist with negotiation of business and legal terms with Pall’s customers, vendors and distributors.

Assist in ongoing securities compliance and corporate governance, including but not limited to preparation and filing of required disclosure documents.

Liaison with various departments regarding contractual terms, including, but not limited to, finance, tax, import-export and insurance.

Carefully track drafts and correspondence regarding contract negotiations; prioritize matters requiring legal review.

Carefully track administration of signed contracts.

Maintain and update current status for all in progress contracts in departmental database.

Maintain and update a legal forms library.

Duties to include:
Review third party contracts and revise to conform to Pall standard terms. Coordinate with business managers and shared service departments regarding busines! s and specialized terms and prepare revised contracts and comm! ents for review by business managers and Pall attorneys. As necessary, obtain management approval of variations from standard terms. List exceptions and clarifications and provide guidance to commercial leaders to negotiate with our customers.

Assist in ongoing securities laws compliance, including timely preparation of Section 16 reports (Forms 3, 4 and 5) and assist with preparation of annual and quarterly SEC disclosure documents (8-K, 10-Q, 10-K).

Assist with preparing and filing annual certification and other reports with the NYSE.

Prepare commercial contracts using Pall standard forms and incorporating negotiated business terms.

Track and review third party comments on commercial contracts, coordinate Pall responses and positions with business managers, attorneys and specialized departments and provide revised drafts and/or comments, as appropriate. Prepare and circulate blacklined drafts for review by attorneys and business manager! s and provide final drafts that can be sent to third party.

Prioritize contract review and finalization based on business requirements, establish regular meetings with business and legal contacts in order to achieve accurate scheduling and priority of contract review, and maintain a list of current status for all contracts that are in progress.

Respond to inquiries regarding contract obligations, revisions and status on contract review and negotiation.

Assist corporate counsel in preparation of contract review materials and presentations.

Administer existing contracts, including provide notification of existing contracts and their renewal requirements.

Serve as liaison among the legal, finance, risk management and business teams on contract related issues.

Any other assignments related to contract review, negotiations, drafting, administration, enforcement, interpretation and disputes, as assigned by the Corporate Counse! l.

Provide ongoing routine administrative support to Corporate! Counsel and/or other department staff as assigned. The administrative support may include, but is not limited to, answering and managing incoming phone calls, arranging meetings, events, teleconferences and managing calendars, maintaining and updating files, photocopying, faxing, and scanning documents and preparation and submission of expense reports.

Required Skills

Must be able to understand and interpret contractual terms and identify potential issues. Must possess excellent reading, writing and verbal communication skills, be results-oriented and efficient, be able to draft clearly and concisely, and have the ability to perform duties with minimum direct supervision. Must possess strong interpersonal skills. Proficient in Microsoft Office (Excel, Word, PowerPoint), Lotus Notes and TyMetrix. Must possess a high level of integrity. Must work well within a team as well as independently.

Required Experience

Bachelor's degree, Paralegal ! Studies Certificate or equivalent work experience in related field, with a minimum of 2 years experience reviewing, drafting and negotiating commercial contracts, preparation and filing of public company disclosure documents, or equivalent combination of education and contract experience. Prior public company, in-house experience preferred.
