Main Function This lawyer will b! e part of a team providing general support for the structured investment businesses of Barclays investment bank in NY, with primary emphasis on the structuring, negotiation and documentation of a variety of structured products, such as notes, CDs, warrants, and certificates, across all assets classes, whether as registered offerings, private placement or exempt offerings. He/she will be responsible for managing legal risks of such transactions, by providing useful and timely advice to the relevant businesses.
Main Duties
Identification of new legal and market practice developments that can affect above-mentioned transactions, including structured notes, CDs, warrants, and certificates, whether offered publicly, privately or on an exempt basis
Advising on the legal risk of such transactions
Creation and maintenance of standard documentation for the above-mentioned transactions, including structured notes, CDs, warrants and certificates
Assist in stru! cturing and drafting of bespoke documentation for various transactions, including structured notes, CDs, warrants and certificates, linked to various assets such as equities, commodities, interest rates, FX, indices, or baskets
Participation in various industry initiatives relating to above-mentioned transactions
Participation in the new product and due diligence process with respect to new products
Frequent and on-going interaction with front office and other infrastructure groups (e.g. credit, compliance, operations, treasury, tax, etc.) personnel
Evaluation of legal and reputational risks relating to various transactions
Education and training of business people, other control groups and inside lawyers, concerning significant issues in connection with the above-mentioned transactions
Development and maintenance of efficient and effective relationships with outside counsel
Management of the costs of external legal services
Person Re! quirements Basic Qualifications:
Law school degree
Admissio! n to New York State Bar
3+ years of legal experience working on capital markets/structured products transactions
Preferred Qualifications:
Experience at a top tier law firm
Experience with Securities Act of 1933, Securities Exchange Act of 1934, and the related regulations.
