Description
The American Express General Counsel’s Office is seeking an experienced, hard-working and creative attorney to support the Corporate Development/Mergers & Acquisitions Group. The attorney will join the Mergers & Acquisitions Legal Team as Counsel. The Mergers & Acquisitions Legal Team is the legal function that handles acquisitions, dispositions, joint ventures, investments, corporate venture capital and similar strategic transactions.
Job Responsibilities:
- Handle a wide array of merger and acquisition transaction activ! ity.
- Provide oversight of outside counsel.
- C! oordinate with other subject matter experts in the General Counsel’s Office who support transactions, drafting and negotiating confidentiality agreements, engagement letters and indications of interest.
- Participate in all other elements of a transaction, including structuring, due diligence, drafting, negotiation and execution.
- Strong background in mergers and acquisitions (both public and private); 7+ years relevant experience.
- Diverse transactional experience and ability to creatively and effectively leverage experience in new settings.
- Transactional experience in a regulated industry and/or experience in the financial services industry.
- Knowledge of federal securities laws and regulations, corporate governance and general corporate matters.
- Knowledge or experience in technology sector and with intellectual property driven transactions will be helpful.
- Demonstrated effectiveness! with multiple stakeholders and diverse constituencies.
- Team player with the ability to proactively collaborate with cross-functional teams.
- Executive presence combined with strong interpersonal and organizational skills and a demonstrated ability to proactively provide sound legal advice, exercise good judgment, advise senior management and implement policies and processes in a dynamic and fast-paced environment.
- Member of the NY bar in good standing.
